Joseph “Joe” McCormack
Senior Associate
Joseph “Joe” McCormack advises businesses and investors on mergers and acquisitions, fund formation, private placements and acquisition due diligence as part of Feighny Hartle’s corporate transactional team. A background in oil and gas title examination and state and local tax accounting gives him a sharp eye for the issues that move a deal’s value. Clients get direct, responsive counsel and work product they can act on.
Mergers, Acquisitions and Acquisition Due Diligence
Joe works across the transaction lifecycle, from diligence and drafting through negotiation and closing. He drafts and reviews deal documents, with close attention to representations and warranties, indemnification and closing conditions. His title work taught him how one unresolved gap or restriction can change an asset’s value or the deal terms. Clients get a clear read on which issues are material and what to do about them.
Fund Formation and Private Placements
Joe works with FH’s corporate team on the documents that set up investment vehicles and define relationships among sponsors, managers and investors. That includes entity structure, limited partnership and company agreements, investor rights, capital commitments, offering documentation and SEC Form D filings. The team tracks every filing, agreement and signature page on a shared roadmap, so clients always know where things stand.
Oil and Gas Title Opinions and Energy Asset Diligence
Joe continues to prepare supplemental, drilling and division order title opinions on complex mineral and leasehold ownership. He reconstructs ownership histories, interprets lease and pooling provisions, and writes curative requirements that lay out the steps to clear each defect. Energy clients get a corporate lawyer who understands the assets underneath the deal.
Accounting Discipline and Clear, Actionable Communication
Before practicing law, Joe worked in state and local tax at an accounting firm, where every schedule had to tie out. That discipline carries into every ownership calculation and financial review. Every issue he raises, including adverse findings, comes with why it matters, the available options and a practical next step.
“It’s not enough to spot a problem and leave the client to sort it out. I explain what the issue is, why it matters and how to fix it, so everything I hand back is something a client can act on.”
