Get the deal done on
terms that protect its value.
From the biggest deals to the biggest (and sometimes only) deal in a client’s lifetime, we help our middle market clients get their deals done -and done well.
How do we help clients move complex M&A transactions from term sheet to closing?
Whether buying, selling, merging or restructuring, we bring the judgment, business fluency and transactional experience needed to move deals forward and protect long-term value. Across a wide range of industries and both domestic and international markets, we guide strategic buyers, private equity sponsors, family-owned businesses, founders and other privately held companies through the full transaction lifecycle – from initial structuring and negotiation through due diligence, definitive agreements, regulatory approvals, closing and post-closing integration.
Bringing public company experience to global private M&A
With many of our attorneys trained handling M&A for publicly traded companies, today we bring that same rigor to privately held clients. Whether their transaction is one of many in an active acquisition or divestiture strategy or a once-in-a-lifetime sale of a family-owned business, it gets the same focus, responsiveness, and senior attention to every transaction.
We also regularly coordinate cross-border deals involving parties and assets across multiple jurisdictions, including Latin America, Europe, Asia, India and Canada. When local counsel is needed, we coordinate the work so transaction moves as one integrated process.
Time kills deals. We don’t let it.
Once the deal value passes $10 million, complexity rises and many transactions stall without strong counsel driving them forward. From term sheet through closing, we stay focused on the finish line:
- Identifying risks early
- Providing clear guidance at key decision points
- Solving problems before they threaten the economics or timeline.
Full corporate capability, with a distinctive depth in energy deals.
We handle the full range of corporate transactions, with a particular depth in energy and oil and gas acquisitions and divestitures. These deals often center on mineral interests, energy-related units and similar assets, which raise distinct liability, indemnification, representations and warranties. We address structure and risk allocation at the outset so those issued don’t derail the deal later.
Offering both experience and efficiency.
Whether preparing assets for sale or conducting buy-side due diligence, we understand the importance of uncovering the issues that matter and giving clients a clear picture of the transaction. At the same time, we remain mindful of client budgets. Leveraging the experience of our attorneys, we approach each matter with a practical, solutions-oriented mindset, using creative and efficient strategies to deliver the level of diligence and attention our clients need without unnecessary cost.
“A number of our clients do multiple transactions a year. For other of our privately held companies, this is the only transaction they will ever do, as they prepare to let go of their legacy. In either scenario, it is an honor and opportunity to be able to proactively add value, by staying focused on what matters to the client and doing what it takes to get the deal done.”
